1. Agreement to Terms

By accessing or using Thread ("the Service"), you agree to be bound by these Terms and Conditions. If you disagree with any part of these terms, you may not access the Service.

These Terms and Conditions apply to all visitors, users, and others who access or use the Service.

2. Description of Service

Thread is a marketing analytics platform that aggregates data from multiple advertising platforms including Google Ads, Search Console, Meta Ads, LinkedIn Ads, and TikTok Ads into a unified dashboard.

The Service allows users to connect their advertising accounts via OAuth authentication, visualise performance metrics, create custom dashboards, and generate reports.

3. User Accounts

When you create an account with us, you must provide accurate, complete, and current information. Failure to do so constitutes a breach of the Terms, which may result in immediate termination of your account.

You are responsible for safeguarding the password used to access the Service and for any activities or actions under your password.

You agree not to disclose your password to any third party. You must notify us immediately upon becoming aware of any breach of security or unauthorised use of your account.

4. Platform Connections

By connecting your advertising platform accounts to Thread, you authorise us to access and retrieve data from those platforms on your behalf. This access is read-only and used solely for the purpose of providing the Service.

You represent and warrant that you have the authority to grant Thread access to your platform accounts and that doing so does not violate any agreements you have with those platforms.

5. Acceptable Use

You agree not to use the Service:

• In any way that violates any applicable national or international law or regulation
• To transmit any advertising or promotional material without our prior written consent
• To impersonate or attempt to impersonate Thread, a Thread employee, or another user
• To engage in any conduct that restricts or inhibits anyone's use or enjoyment of the Service
• To attempt to gain unauthorised access to any portion of the Service or any other systems or networks
• To use any automated means to access the Service or collect data from it

6. Intellectual Property

The Service and its original content, features, and functionality are and will remain the exclusive property of Thread and its licensors. The Service is protected by copyright, trademark, and other laws of both Australia and foreign countries.

Our trademarks and trade dress may not be used in connection with any product or service without the prior written consent of Thread.

7. Subscription and Payments

Some parts of the Service are billed on a subscription basis. You will be billed in advance on a recurring and periodic basis, depending on the plan you select.

At the end of each billing period, your subscription will automatically renew unless you cancel it or Thread cancels it. You may cancel your subscription at any time through your account settings.

All fees are exclusive of all taxes, levies, or duties imposed by taxing authorities, and you shall be responsible for payment of all such taxes, levies, or duties.

8. Free Trial

Thread may offer a free trial for a limited period. At any time during the trial, you may cancel and will not be charged.

If you do not cancel before the end of the trial period, you will be automatically charged the applicable subscription fees for the plan you selected.

9. Data Accuracy

While we strive to provide accurate and timely data from connected platforms, Thread does not guarantee the accuracy, completeness, or reliability of any data displayed in the Service.

Data is sourced from third-party platforms and may be subject to delays, errors, or discrepancies. You acknowledge that decisions made based on data from the Service are at your own risk.

10. Limitation of Liability

In no event shall Thread, nor its directors, employees, partners, agents, suppliers, or affiliates, be liable for any indirect, incidental, special, consequential, or punitive damages, including without limitation, loss of profits, data, use, goodwill, or other intangible losses.

Thread's total liability to you for all claims arising from or related to the Service shall not exceed the amount you paid to Thread in the twelve (12) months preceding the claim.

11. Disclaimer

The Service is provided on an "AS IS" and "AS AVAILABLE" basis. Thread makes no warranties, expressed or implied, regarding the Service, including but not limited to implied warranties of merchantability, fitness for a particular purpose, and non-infringement.

Thread does not warrant that the Service will be uninterrupted, secure, or error-free, or that defects will be corrected.

12. Termination

We may terminate or suspend your account immediately, without prior notice or liability, for any reason whatsoever, including without limitation if you breach these Terms.

Upon termination, your right to use the Service will immediately cease. If you wish to terminate your account, you may do so through your account settings or by contacting us.

13. Governing Law

These Terms shall be governed and construed in accordance with the laws of Australia, without regard to its conflict of law provisions. Any disputes arising from these Terms shall be subject to the exclusive jurisdiction of the courts of Australia.

14. Changes to Terms

We reserve the right to modify or replace these Terms at any time. If a revision is material, we will try to provide at least 30 days' notice prior to any new terms taking effect.

By continuing to access or use our Service after those revisions become effective, you agree to be bound by the revised terms.
